- Client will indemnify, defend and hold Com1, and its officers, directors, employees, agents and affiliates (each, an “indemnified party”) harmless from and against any and all costs, liabilities, losses and expenses, including, but not limited to, reasonable attorneys’ fees (collectively, “losses”) resulting from or arising out of any claim, suit, action, arbitration or proceeding (each, an “action”) brought by a third party against indemnified party relating to: (a) a breach or alleged breach by client of any of its representations, warranties, covenants or obligations hereunder, (b) infringement or misappropriation of any intellectual property rights, including but not limited to rights of privacy, patent, copyright, trade secret, trademark rights and/or licenses, (c) injury caused by any negligence or willful misconduct of client, or (d) use of the services, including use of the services without the consent of client.
- Any person who is not a party to this Contract shall have no right to enforce any term of this Contract against the Company under the Contracts (Rights of Third Parties) Act 1999.
8. Our Agreement with You
- We will endeavour to produce a high quality services to your satisfaction and for the agreed package price. Com1 does reserve the right to increase package prices in line with inflation. Any price increases will not affect your current agreed package price and upon renewal we will give full written notice of any increases in our package prices.
- We take complaints very seriously and if at any time you are in any way unhappy with the service you receive from our company, we will resolve to settle complaints quickly and efficiently.
9. Severance
If any of these Terms and Conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed and the remaining Terms and Conditions shall survive and remain in full force and effect and continue to be binding and enforceable
10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the law of UK and you hereby submit to the exclusive jurisdiction of the UK courts.
